Forms of company formation

Aksjeselskap (AS) is a legal entity with limited liability and a minimum authorised capital of NOK30, 000. The shareholders of the company do not have to be Norwegian residents.  We will prepare all the necessary documents for the establishment of the company and will electronically file the application with the Norwegian business register “Brønnøysundregistrene”. 
Acquisition of an established company In addition to setting up new companies, we offer the possibility to acquire an established company. New, dormant private limited companies AS are offered for sale.  We provide all the documents proving that the company is brand new, has no debts or other liabilities.

NUF is the Norwegian branch of a foreign company.

This form of registration is the most suitable for Lithuanian companies wishing to start operations in Norway, as it has a number of advantages compared to other forms of legal entity:

  • NUF does not require any share capital
  • The address of registration of the branch may be in Lithuania
  • The branch is managed from Lithuania, so there is no obligation to have an office in Norway
  • No need to employ and pay salaries to a manager
  • Employees working in Norway can be seconded from Lithuania
  • Personal income tax, social security contributions and corporation tax can be paid in Lithuania in certain cases.

It is important to note that foreign branches of companies (NUF) are required to keep full accounting records in accordance with Norwegian accounting and tax legislation.

Lithuanian companies are required to register NUF with the Norwegian Register Centre and obtain a Norwegian organisation number before they can start operating in Norway. Our experienced specialists will quickly and smoothly register your company’s branch in Norway. We will prepare documents necessary for the establishment of a NUF and will fill in the application form for the Norwegian business register “Brønnøysundregistrene”. It normally takes 4 weeks to set up a NUF in Norway.
Enkeltpersonforetak is an unlimited form of personal liability activity run by one natural person.
